Michele Leonelli | Founder of Studio Leonelli
Studio Leonelli is led by Perth-born, U.S.-trained corporate attorney Michele Leonelli. He serves as Outside General Counsel for a broad range of companies, entrepreneurs, investors, and funds. The firm specializes in assisting foreign businesses as they expand into the U.S. As part of this, Studio Leonelli (i) sets up and structures entities such as LLCs and corporations; (ii) drafts, reviews, and negotiates commercial agreements such as Services Agreements, MSAs, Contractor Agreements, SaaS Agreements, Purchase & Sale Agreements, and Intercompany Agreements; (iii) handles M&A transactions either from the buy or sell side, across both asset and stock deals; and (iv) represents clients during the fundraising process. The firm is there from the initial landing point in the U.S. through the life of the business. They also offer ongoing legal support for foreign businesses without a U.S. entity, representing them in commercial negotiations and engagements in the U.S.
